Terms of Service

Please read these Terms carefully before using Sponti. They explain your rights and responsibilities as a user or business on our platform.

1. Introduction and Acceptance
These Terms of Service ("Terms") govern your use of the Sponti platform, including our mobile application and website (collectively, the "Service"), operated by Sponti ("we", "our", or "us").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
We may update these Terms from time to time. Material changes will be communicated with at least 14 days' notice via email or in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance.
2. Accounts
2.1 Eligibility
You must be at least 16 years old to create a customer account. Business accounts require the account holder to be of legal age to enter contracts in their jurisdiction.
By creating an account, you represent that the information you provide is accurate and that you have the authority to bind any business entity you register.
2.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately if you suspect unauthorised access
You may not share your account, create multiple accounts to circumvent restrictions, or use another person's account without permission.
2.3 Business Accounts
Business accounts require verification before you can publish deals. Verification includes completing our onboarding flow: creating a business profile, adding a venue, and connecting a payout account via Stripe.
We reserve the right to reject or suspend any business account that violates these Terms, posts inaccurate deal information, or engages in misleading practices. Business accounts are subject to additional obligations set out in Section 5.
3. The Sponti Marketplace
Sponti operates as a marketplace connecting businesses offering last-minute deals with nearby customers. We are a platform facilitator — we do not own, operate, or control the businesses listed, and we are not a party to the deals, bookings, or transactions that occur between businesses and customers.
What Sponti does: - Provides the technology platform for businesses to list deals - Surfaces relevant deals to customers based on location and preferences - Facilitates payment processing through our payment processor (Stripe) - Provides booking references and redemption codes
What Sponti does not do: - Guarantee the quality, accuracy, or availability of any specific deal - Act as the merchant of record for business-to-customer transactions - Provide refunds on behalf of businesses (unless required by applicable law) - Employ or supervise business staff
4. Deals, Offers, and Accuracy
Businesses are solely responsible for the accuracy of their listings, including price, availability, expiry time, redemption conditions, and any applicable restrictions.
Deals listed on Sponti are last-minute by nature — they are time-sensitive, capacity-limited, and may be withdrawn or modified by the business at any time before a booking is confirmed. A deal you see listed is not a legally binding offer until you complete a booking and receive a confirmation reference.
As a customer, you should be aware:
- Deal availability is real-time and may have changed by the time you complete your booking
- Some deals require physical redemption within a specific time window — late arrivals may forfeit their booking
- Deal descriptions, photos, and example images are provided by businesses and are not verified by Sponti
- Prices shown are the deal price at time of listing and may not reflect the full retail value claimed
We reserve the right to remove listings that are inaccurate, misleading, or in breach of these Terms.
5. Business Obligations
If you use Sponti as a business, you agree to:
- Provide accurate, up-to-date information about your business, venue, and deals
- Honour confirmed bookings made by customers through the platform
- Clearly state any material restrictions, conditions, or requirements before a customer books
- Not list deals for goods or services you do not intend to provide
- Not manipulate pricing to fabricate inflated "original prices"
- Comply with all applicable laws, including consumer protection legislation, food safety regulations, licensing requirements, and health and safety standards
- Maintain appropriate business insurance for your services
- Promptly respond to customer support queries and resolve disputes in good faith
Consequences of non-compliance: Repeated customer complaints, dishonoured bookings, or deceptive listings may result in account suspension or permanent removal from the platform.
6. Payments and Payouts
6.1 Customer Payments
Payments made through the Service are processed by Stripe, a third-party payment processor. By completing a purchase, you also agree to Stripe's Terms of Service and Privacy Policy.
Sponti does not store your full credit card number or CVV. Payment data is transmitted directly to Stripe's secure servers.
Where deals are free-to-book (e.g., table reservations without upfront payment), no charge is made unless otherwise stated.
6.2 Business Payouts
Businesses receive payouts via their connected Stripe account. Payout timing is subject to Stripe's standard processing schedules and any applicable hold periods.
Sponti charges a service fee on transactions processed through the platform. The current fee structure is displayed during business onboarding and may be updated with 30 days' notice.
Businesses are responsible for any applicable taxes on their earnings. Sponti provides transaction records to assist with tax obligations but does not provide tax advice.
6.3 Refunds and Cancellations
Customer-initiated cancellations: Refund eligibility depends on the individual deal's cancellation policy as set by the business. Some deals are non-refundable due to their time-sensitive nature (e.g., a bakery surplus bag available for the next 30 minutes).
Business cancellations: If a business cancels a confirmed booking, the customer is entitled to a full refund of any amount paid. We will process this refund within 5–10 business days.
No-shows: Customers who fail to redeem a time-limited booking within the stated window forfeit their booking. Refunds for no-shows are at the business's discretion.
If you believe a refund is owed that a business is disputing, please contact us at legal@sponti.app and we will investigate.
7. Acceptable Use
You may not use the Service to:
- Post false, misleading, or fraudulent content
- Scrape, harvest, or collect user data without consent
- Circumvent, disable, or interfere with security features of the Service
- Upload viruses or malicious code
- Use automated tools to create accounts or interact with the Service without our written permission
- Impersonate another person or entity
- Engage in any activity that violates applicable laws or regulations
- Harass, abuse, or threaten other users or Sponti staff
We reserve the right to investigate violations and take appropriate action, including content removal, account suspension, and referral to law enforcement authorities where warranted.
8. Intellectual Property
Sponti content: All content produced by Sponti — including the app design, website, brand assets, and written materials — is owned by or licensed to Sponti and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
User and business content: By submitting content to the Service (including business photos, deal descriptions, and profile information), you grant Sponti a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content for the purpose of operating and promoting the Service.
You retain ownership of your content and may remove it by deleting your account or the relevant listing, subject to any retention obligations set out in our Privacy Policy.
You represent that you own or have the rights to all content you submit and that it does not infringe any third-party intellectual property rights.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- Any deal listing is accurate, complete, or currently available
- Any business listed on the platform is licensed, insured, or compliant with applicable regulations
- Results obtained from using the Service will meet your expectations
Deal quality, business reputation, and service delivery are entirely the responsibility of the individual business. Sponti does not endorse any specific business or deal listed on the platform.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPONTI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or other intangible losses
- Damages resulting from your reliance on deal accuracy, availability, or business conduct
- Any third-party services accessed through or linked from the platform
- Interruptions or errors in the Service
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO SPONTI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £50.
Some jurisdictions do not allow limitations on liability for certain types of damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Sponti and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Content you submit to the platform
- Your violation of any third-party rights
- Any deal or transaction you enter into via the platform (for businesses)
12. Termination
By you: You may close your account at any time by going to account settings in the app or by emailing us at legal@sponti.app. Closing your account does not automatically cancel any pending bookings or outstanding payment obligations.
By us: We may suspend or permanently terminate your account if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide reasonable notice where possible, except where immediate action is necessary to protect users or the platform.
Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including Sections 9, 10, 11, and 13) will continue to apply.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Dispute resolution: We encourage you to contact us first at legal@sponti.app to resolve any dispute informally. Most issues can be resolved quickly through direct communication.
If a dispute cannot be resolved informally within 30 days, either party may bring a claim in the courts of England and Wales. You agree to submit to the personal jurisdiction of those courts.
Nothing in this section limits your statutory consumer rights under applicable law.
14. General
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sponti regarding the Service and supersede any prior agreements.
Severability: If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining Terms will remain in full effect.
No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment: We may assign or transfer our rights and obligations under these Terms without restriction. You may not assign your rights without our written consent.
Force majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
